I believe the shares issued under the S-1 registration will be a public offering and not preferred shares. If Joe makes a loan to FNET or simply buys additional shares of FNET will be determined between Frank and Joe. The new shares of DCTC will be priced at what ever the price of DCTC is at the time of the offering and not at a discount. The new shares issued will only increase the earnings per share because the extra money will be used to close several other joint ventures which will immediately add to the bottom line. As I stated on an earlier post DCTC is a $5-$7 stock without any earnings from FNET.
