Good luck to Pete Willmott. He worked his butt off to help turn the company around and accomplished much. Thanks for the effort and good deeds Pete.

Hope that Jeff Gannon hits the deck in full stride. No time for procrastination while getting the lay of the land.

Issues to immediately address:

1. Establish the licensing fees for DTV, PC and STB VSB demodulators and for broadcasters' VSB transmissions. Be bold!

2. Develop a Zenith-DBS partnership for HDTV broadcasts with ZE satellite receiver/decoders. Beating RCA/DirecTV to the punch would be a great move.

3. Keep the sales momentum in full gear. Heard reports at the CES that sales in the fourth quarter were "remakably good".

4. Fish or cut bait with Divx. If a go, 100% effort to make it a success. Two stores is a dumb move. Recommend that Sharp drop the Divx moniker and replace it with "DVD+" and price it below cost (subsidized by CC) at about $399, during the first 90 days.

5. Work with R.D. to obtain one or two additional equity partners. Goal: one billion dollar plus in the kitty to upgrade all operations and to increase critical engineering and marketing personnel. Intel can be an excellent partner.

6. Get Americast members to commit to a firm STB purchase/delivery schedule.
