"I guess you have to look at it like this. You can pick up PHX for 1/2 to 9/16. The purchase price is a MINIMUM of $.79 per
share. So even at 9/16 PHX is 40% undervalued. Or, you could look at it as if you were buying QWST at a 40% discount, that is of
course if the deal doesn't fall through, which it won't! If you read the SEC filing, they said that pending final numbers, the
purchase price is $.79 per share without the potential $4 million in cash. The deal was put together so that QWST stock needs to be
trading between $52.50 and $67.50, $60 being the average or probably the QWST price used to make the deal. It looks like PHX
shareholders will get $28.5 million worth of QWST based on the price when the deal closes in Aprilish. If the stock is below $52.50 on
the date of the close PHX shareholders will get the number of shares it takes to equal $28.5 million. If QWST is between $67.50
and $72.50 PHX shareholders will get 422,222 QWST shares (28.5 mil. / 67.50). If Qwst stock is greater than $72.50 PHX and QWST
shareholders will slit the difference (50/50). Example: If QWST is at $100.00 on the date of the close, Phx shareholders will get 330,434
QWST shares ($100 - 72.5 / 2 = $13.75 plus $72.50 for a total of $86.25 per share, 28.5 mil / $86.25 = 330,434). These shares
will immediately worth $100.00 per share, let's hope! "
