Jamess,

" why would management issue millions of shares of stock, with very unfavorable terms, to raise money, and dilute the xxxx out of the stock, they own it also-what am I missing?"

DD and Farris have given good possible answers. However, being the suspicious individual that I am, I think that there may be another answer to your question. I believe that the answer lies in the identity of the "Holder/Buyer" of the debentures. Several of us have asked for the name, address and telephone number of the "Holder/Buyer" without receiving any reply from the "Management of Oilex". Obviously, the "Holder/Buyer" of the convertible debentures is making a huge amount of guaranteed, risk free money on the conversions. Find out the identity of the "Holder/Buyer" and I believe that your question will be answered.
