Isn't there an exchange regulation at our end that stops a stock from trading? Like when it drops to next to zero,or if management does not abide by these regulations?

For instance,what are the criteria in the case of UMSI, ( if there exist trading rules for quoted co's like UMSI.)

And would someone please explain "class action" to me?
