I don't think your way out in left field, but not exactly right about the preferred shareholders interest.

It's a matter of timing. If the preferred shareholders can keep the price low until they can convert their shares(March, I believe) then they will be able to receive more shares of common stock. You are right in saying that this alone does not yeild a return on their investment.

However, IMO QDEK is a $5.00 stock (given good sales). So, if they can convert with a conversion price of $2.00 rather than $5.00 you have a much better return than if you convert at $5.125 and hope the stock goes to $6.00. This stock will get to $3.00 in '98. Whether it goes to $6.00 is another matter.
