Dear Martin: I intended to do apreferred issue.However,if it were a common issue ,and the price equated to $1.50 per share I can assure you I would never do it period and report! I have been to the pricing table on many occassions and on several I pulled the issue back only to come back several months later and do the same deal at ahigher price.It is called market timing.This is only a backup position, as discussed at Dayton.The main reason for doing the S1 is to consummate the muller media transaction and apply for small cap listing on NASDAQ the next day.
