Telecommunications-equipment maker Avaya Holdings Corp. is in talks to combine with rival Mitel Networks Corp. in a stock deal worth more than $2 billion, people familiar with the matter said.

Closely held Mitel is offering about $20 to $22 a share for Avaya, according to the people, or between roughly $2.2 billion and $2.4 billion. That would represent a slight premium to the Santa Clara, Calif., company’s recent stock price of just over $20.
