GRIDNET ANNOUNCES FIVE YEAR CONTRACT WITH NTR-NET
CORPORATION

ATLANTA (Oct. 2) BUSINESS WIRE -Oct. 2, 1996--GridNet International
announced today that it has signed a five year agreement with UniDial
Communications and NTR-NET Corporation to supply Internet access
services worth $168 million.

This relationship demonstrates GridNet's aggressive plan to penetrate
the wholesale Internet access market with strong partners who are
positioned to bring the full range of Internet services to their
customers.

"NTR-NET Corporation's goal is to be the wholesale Internet service
provider of choice to other Internet Service Providers (ISPs) and
resellers of long distance. GridNet provides NTR-NET (pronounced
"in-ter-net") with a nationwide network that has been designed to
accommodate the continued evolution we are seeing as local ISPs grow
into regional and national service providers," said Dave Duggins, chief
executive officer of NTR-NET.

The agreement affirms GridNet's long term commitment to NTR-NET and
resellers such as UniDial for the long term and allows resellers to be a
full service provider for those customers looking for one-stop shopping.
NTR-NET's strategic relationship with UniDial, one of the country's
most progressive resellers of telecommunications services, creates a
nationwide distribution channel for the NTR-NET Internet services which
include local dial-up access, web hosting services and dedicated
circuits to the Internet.

"There is significant demand in the marketplace to consolidate
telecommunications services on a single invoice," said O.G. Greene,
president and chief executive officer of GridNet International.

"Companies such as NTR-NET are providing the avenue for long distance
resellers to include Internet services in their current billing
structure. The relationship between NTR-NET as a wholesale ISP and
UniDial, a long distance reseller, will allow one of the fastest growing
long distance resellers to provide its customers with a more robust
service offering." said Greene.

"Internet services are the wave of the future, only the future is
already here today. Because of our partnership with GridNet and NTR-NET,
Unidial is now ready to bring the full power of the Internet to our
customers. With GridNet's network architecture, unparalleled security
strategy and premium customer services, UniDial now has a nationwide
offering that represents the next generation of network services," said
Sherman Henderson, president of Unidial.
