On May 21, 2019, AGS sent a letter to the Chairman of the Board of Directors of the Issuer expressing its interest in engaging in discussions with the Issuer regarding a preliminary, non-binding proposal to acquire all of the outstanding Common Stock at a proposed purchase price of $5.50 to $6.00 per share in cash, a 23% to 35% premium to the closing price of the Common Stock on May 20, 2019, the last trading date before the date of the letter.
