If the directors' hands are tied because Mr. Heddle is asserting complete control by the debt owed him, they should resign as directors and give that honest reason for stepping down.


Giving that reason publicly would be an act against their own interests for two reasons.
They're shareholders and it could be expected hurt the share price.
I'll bet they would like to see their loans repaid.

Also, if I'm not mistaken, those loans SOMEHOW ended up having the same collateral that Heddle has on his loans.

If their hands are tied their lips are also likely to be sealed.
