GTW has market cap of 5.2B, with a premium DEC will have to pay at least about 6B. DEC has 2B in cash and market cap of 6.6B so DEC will need to dilute their shares by 75% which the shareholders will not like, plus it may not be a good strategy (long term for DEC) unless GTW and DEC start making Alpha based PCs; DEC has moved away from consumer market.
