CHATSWORTH, Calif.--(BUSINESS WIRE)--Oct. 3, 1996--Plasma &
Materials Technologies, Inc. (NASDAQ:PMAT)(PMT) an international
supplier of high-density, plasma based etch and deposition equipment
used to manufacture semiconductors, today announced it has agreed to
sell $75,000,000 principal amount of 7-1/8% Convertible Subordinated
Notes Due 2001.

The Notes will be convertible into Common Stock at a conversion
price of $15.635 per share. The Company also granted to the Initial
Purchasers of the Convertible Notes a 30-day option to purchase up
to $11,250,000 principal amount of additional Convertible Notes to
cover over-allotments, if any. Proceeds from the sale of the
Convertible Notes will be used to finance a significant portion of
the purchase price for all the outstanding capital stock of
Electrotech Limited and Electrotech Equipments Limited, a broad line
supplier of semiconductor processing equipment headquartered in the
United Kingdom. Proceeds of the offering may be used only for this
purpose.

The Convertible Notes have not been registered under the
Securities Act of 1933 and may not be offered or sold in the United
States absent registration or an exemption from registration
requirements.

PMT develops, manufactures, and markets advanced plasma
processing equipment based upon a proprietary high density, low
pressure plasma source -- the MORI source. These products are used
for etch and chemical vapor deposition (CVD) applications, and are
sold to semiconductor and flat panel display manufacturers
worldwide. PMT sells its equipment through a combination of a
direct sales force and a worldwide network of distributors. The
Company's corporate and manufacturing headquarters are located in
Chatsworth, north of Los Angeles.
