Henry, although the following paragraph is no doubt also legalese, I consider it important:

3.5.3 During the course of the negotiation of this Agreement, the Purchaser has had an opportunity to discuss the Corporation's
business, management and financial affairs with the Corporation's management and the opportunity to review the Corporation's financial statements, books and records, facilities and business plan. The Purchaser has also had an opportunity to ask questions of officers of the Corporation, which questions were answered
to the Purchaser's satisfaction.

As has been mentioned before, it seems to me that HealthMed has full knowledge of the results and statistics from the clinical trial of Lidakol and that they are satisfied that it has a good chance both of being approved and of being a successful drug. That is a good sign, whether or not the deal with HealthMed is approved.
