Per the Proxy Statement:Each share of NanoViricides common stock entitles the holder to one vote on each matter presented for stockholder action. In addition, each share of Series A Preferred stock is entitled to 9 votes on each matter presented for stockholder action. An affirmative vote of a majority of the votes cast in person or represented by proxy at the Meeting, is necessary for the election of each of the director nominees named in this Proxy Statement (Proposal 1). The affirmative vote of a majority of the Company’s outstanding voting Capital Stock is necessary for the amendment to the Company’s Articles of Incorporation to increase the Company’s authorized Capital Stock (Proposal 2).
