I thought that the question of whether Diwan controls the vote or not was a factual question, not a theoretical one. That's why I made the effort to put the known facts together here:

I have no idea how he voted his shares or if the rumored failure to pass has actually occurred. Common sense would suggest that the matter wouldn't have even cleared the Board without his support so I would expect him to have voted for it. I wouldn't expect Sapirstein and Day to have proposed the idea to Glick who then embraced it in the face of a thumbs down by Diwan.

For the moment I'm rejecting the rumor until proven. Any conjecture based on it is just an exercise....

That said, the bar for the passage of Proposal 2 was significantly higher:
"An affirmative vote of a majority of the votes cast in person or represented by proxy at the Meeting, is necessary for the election of each of the director nominees named in this Proxy Statement (Proposal 1). The affirmative vote of a majority of the Company’s outstanding voting Capital Stock is necessary for the amendment to the Company’s Articles of Incorporation to increase the Company’s authorized Capital Stock (Proposal 2)."
