Goodwill: The discounted value of a larger-than-normal return on tangible assets. A business may build goodwill over time as customers become loyal to the firm's products. Goodwill does not appear on a company's financial statements unless another business is purchased at a price greater than book value.
Asset: Something of monetary value that is owned by a firm or an individual. Assets include tangible items such as inventories, equipment, and real estate, as well as intangible items such as property rights or goodwill. The balance sheet is the financial statement listing assets.
Intangible Asset: An asset such as a patent, goodwill, or a mining claim, that has no physical properties. Since intangible assets are often difficult to value accurately, such assets when included on a corporate balance sheet may have a true value significantly different from the dollar amounts indicated there.
Purchase Method: A method of accounting for a merger or combination in which one firm is considered to have purchased the assets of the other firm. Now the bottomline is the 10K is accurate as far as what it contains. Because MDCE knows that the financial world likes solid hard assets is why MDCE is doing diversified acquistions for the 'hard assets' and cash flow for the company. Now this is/was a sleeper as I have stated over the course of this stock. It is new and coming out which is exactly what I have said since the begining. This is why I have said if you are in it for a momentum then you picked the wrong stock. All this Bull surrounding this 10K was expected and I am not going to debate the naysayers. If you do not see what is happening with this stock that is going to take sometime to blossom then you made a bad investment. I have been in this stock since the begining and it is moving right along. I look for the next 30 - 90 days to be very interesting as things come together with their business plan. I do not expect the 10K for 1997 to be much different that the 1996. I honestly expect a book value $3. - $4. If they can get the acquistions they are working on, the hard assets will increase and so will the cash flow.
Here is a summary of what is currently happening to my knowledge:
1.) They company is being/becoming fully reporting so investors can see the overall historical financial condition of the company. Good or Bad!!! If it is so bad why has it not fallen to the sub penny level???
2.) New management such as Ed Brody has been brought on board to assist with the diversification acquistions.
3.) The President of Turkey is going to take charge of Suleyman project and push it through. In about 4 weeks the trade magazines in the US will have to news however Turkey will announce the news fisrt.. But again this one film is just a naysayers focus point. MDCE is much more than this one film for crying out loud.
4.) Share Update to date CONFIRMED: 22.5 Issued to date; Float is 10M This was confirmed by Sharon With new management and acquistions the additional shares are restricted since I first posted or started this thread. This is typical even on the big stocks even they give new management share restricted stock. The Float breakdown is as follows - 4.3M Insider held - 2.5M Frozen in settlement return of which none are in the float also an SEC filing is required to sell these shares; Note: There is a gentleman holding a 13-D reportable amount of 5% or more, roughly 1.9 million shares is a non-related accredited investor that loves MDCE, so this is technically a non-related investor, for investment purposes. Leaving a free trading float of 3.2M. BTW this stock moves very well on little volume.
4.) Diversification aquistions are in the final stages as we speak a. They will move forward with the Accelerator, and several computer related products with Lock-out Corp. b. As far as the rumor with PLFM they will not be moving forward with Platform Intl. at this time as more due diligence would be required. c. They are in discussions on acquisitions that would substantially increase their asset base, with 'hard assets,' and increase cashflow to MDCE by approx 20 million/yr
5.) The trading log shows mostly buying all day so I will post only the 12 oclock to close to show something interesting. Buys most of the day then suddenly a drop on the bid came when a 15K sell which got backed up by 13K in buys one at .24 which was a market order that did not fill till after the bell.

Slamming this stock unmercifully on the non sign-in sites with excellent cognitive guru speculative opinions. (Doubt Touters) If I were a short or a MM with a wardog then heck YES nail the bid and cause as much fear as possible for over the weekend. No offense but the convient 10K and the 5K just before the bell and a convient 5k, 5k & 3k at the bell sure looks ironic. This has been going on for weeks. If people are selling it is sure getting bought right back. Also at 10:45 this morning too SUDDENLY 2 WHOMPING 300 shares sold which is 63 whole dollars a piece. Another point of interest is all trades, except for the first 2 and the last one at .24 and the two .20 trade 30 minutes before the bell, were all at .21.
BTW when this naysaying (doubt touters) was out in strength on BOBz this stock had a wide gap because of a short position. Once Mr. Torres sold some common to take the short out of this stock the gap immediately closed up and this stock was left alone by doubt touters. The minute, I mean the very second, this stock got shorted down about two weeks ago and was not allowed to cover because of a buying spree that came in immediately instead of a panic sell off, the doubt touters suddenly came out and have been out in force ever since.
Oh well this is just my ridiclous opinion and is probably totally wrong but hey I am human and entitled to see things wrong. I still believe in this stock but I am not going to debate what I think is typical OTC penny stock tactics.
Happy Trading & flame me if you want but I personally do not see the problem with this stock except for the doubt touters and their motives.
