Yes but I thought you wanted to know the whole truth and nothing but the truth. I was hoping you were going to write a book about this whole Amati episode. I really think that the Amati management team is not as good as you had portrayed. If you noticed during the annoucement of the Westell/Amati merger, there was absolutely no mention of a TI bid (given in writing). A full cash offer versus Westell 90% stock offer, you can't tell me Westell's stock was better than cash? Amati team knew it, yet they followed Westell's instructions in order to close a deal with them. You said "TI did not come back with a counter proposal before then even though Amati's management tried to make contact" That sounds like total BS you've been snowed by Amati management. Can't you see the inference from TI's SEC filing? They made a written offer.

Also the latest quarterly earnings from Westell states that they received about 12 million from TI (not Amati). So it's still not clear who pays. If TI was willing to pay 20$ plus the 14.7 million fee, then they would have paid $21.

I'm still not impressed with this management. Maybe game is over but we still can learn a lot from this case. If not a book, at least we can make this into a MBA case study for students at Stanford.
