Digital Equip Holders To Get $30 Cash, 0.945 Compaq Shrs

NEW YORK (Dow Jones)--Compaq Computer Corp. (CPQ) entered a definitive agreement to acquire Digital Equipment Corp. (DEC) in a transaction valued at $9.6 billion.

Under the terms of the transaction, shareholders of Digital will receive $30 in cash and about 0.945 a common share of Compaq for each share of Digital stock. Compaq will issue about 150 million common shares and $4.8 billion of cash.

The stock of NYSE-listed Compaq closed Friday at 31 3/4, up 5/8. Digital's NYSE-listed shares closed Friday at 45 7/16, up 1/2.
