Precipitate Gold (PRG-V) Reminds Investors of its 2% and 1% NSRs (Royalty) on Portions of 3 Aces Project Recently Purchased by Seabridge Gold (SEA-T) from Golden Predator Mining (GPY-V)

On March 30, 2020 Golden Predator and Seabridge Gold announced that Seabridge would purchase from Golden Predator the 3 Aces Project in YT Canada

Precipitate shareholders and other investors are reminded of Precipitate's retained 2% and 1% Net Smelter Return ("NSR") Royalty held within certain areas of the 3 Aces Project.

In February of 2017 Precipitate announced it had optioned its Reef Project (which now makes up part of the 3 Aces project area) to Golden Predator and Golden Predator completed the acquisition by delivering to Precipitate staged payments of cash, Golden Predator shares and Golden Predator warrants, along with granting Precipitate a 2% NSR royalty on claims that were not subject to a pre-existing royalty, and a 1% NSR royalty on claims that were subject to a pre-existing royalty. Under the terms of the Agreement, Golden Predator retained a right to purchase 25% of the Company's NSR royalty at any time for a purchase price of $1,000,000 and an additional 25% of the Company's NSR royalty at any time for a purchase price of $1,500,000 (an aggregate of $2,500,000 to buy back 50% of the NSR held by Precipitate).
