Spots, amazing as it may seem on face, it will cost less to lay off people after the acquisition than it would have cost DEC to do it on their own. Instead of offering lucrative termination and early retirement so as to avoid lawsuits, they now need only offer "transfers" to unacceptable positions in the joint firm. Many employees will leave of their own accord (read as "free").
