Is it possible that the offer was withdrawn due to the new accounting rules for diluted earnings? With the offering in registration would the company have had to include those shares in the diluted earnings number, thereby significantly reducing EPS with no benefit from the cash the sale would have brought?

This seems likely to me. I do however believe that the company will report earnings at least in line with expectations. I would think that this would move the stock back to the 20's.
