I agree with you that the shareholders should not bank on the fab
as being a continual source of income. S3's plan was to use the
money to invest in a .18 micron fab.
As far as the poison pill goes I doubt at this stage S3 would exercise
it if a good offer was made for the company, so JAG estimate of
250 mil. is reasonable.
No need to invest in this company now, with 2 more quarters of losses
coming. You will still be able to pick this stock up under $6.00 6 months from now. That is if they get their new products to market.
From what I am hearing on the street, by the time Vortex is shipping
in production ( Q3 ) Intel will have CPU's around the 400 mhz. The
line doubling that Vortex does will be able to be done in software ala products from ATI and others at a much lower price tag.
When I saw both the ATI and S3 product at Comdex you could tell
the difference, S3's product was better. But with the more powerful processor there will be no difference between the 2. We know what product Intel will favor, the software based one because that gives the reason to produce faster processors at higher prices with more profit.

JAG - Don't kid yourself regarding Intel getting into the graphics
market. They will be a major player and sooner or later will want
to controll it just like the CPU market.
