TO: ALL CVIA THREAD PARTICIPANTS!
I just completed a telephone discussion with Jack Arnold!
I indicated to him that I was calling as a spokesperson from the CVIA S.I. Thread, and that the reason for the call was to get a progress update regarding the merger/acquistion developments, and answers to some specific questions! I also informed him that I would be relaying the points from the discussion ( to the best of my memory and recollection) back to the CVIA Thread , following the telephone discussion.
Now as always please understand, that it was a lengthy discussion, I did not tape record the discussion, so I would suggest that you continue to treat my opinions resulting from my discussion today with Jack Arnold as totally speculative, guesswork, and opinion on my part! Maybe one way of looking at my opinions are treating them as "Entertainment Value", and if some of the opinions that I share on this thread postings, actually materialize, then I would consider that a bonus! ( I personally continue to treat my investment in CVIA as highly speculative, high risk, opportunity, that to the best of my knowledge/opinion at this very point in time , is still nothing more than a "shell company"-----And I will add that this in no way is intended to be presenting a negative viewpoint on any/all efforts that are currently being directed at attempting to provide value for the CVIA Shares).
Here we go! ( Remember! This is my own opinion or interpretation of the discussion with Jack Arnold).
#1.-- Jack indicated that a Form *K regarding the Reg S shares was filed about three weeks ago! He also mentioned something about now being required to file details electronically, which I felt was in the process of happening!
#2.--Jack's response to the Form that was updated Jan. 16, 1998, by R.F. Charles, regarding WOTD, surrounding the Transaction APD on December 19, 1997, was a step required in the process for WOTD to be officially recognized in order that CVIA could continue efforts to merge with WOTD. ( I hope this made sense, the way I understood it?)
#3.--Jack indicated that currently the focus was to sell tires and oil products via Retail efforts! He is not currently aware of any efforts/plans for CVIA/WOTD to get into any oil exploration or refinery business sector!----He felt the efforts would probably remain focussed at Retail, and in this manner it would easier to move forward, possibly less complications, and the CVIA/WOTD efforts could remain focussed on a specific business related plan!
#4.--I'm not quoting Jack, but the sense I got is that initially he felt that the Tire and Oil portion of the expected revenues would be evenly split 50/50 between tires and oil products!---But! He then suggested that he wouldn't be surprised if there would be a shift towards are greater growing percentage towards the oil products! ( Although since to this point we have had no business, it was basically guesswork--in my own opinion!)
#5.-- He indicated the mood at the meetings was very encouraging!
It sounded to me like he was hinting at they had gone much bettor than he expected, and it sounded as though he had high expectation levels for the meetings, going into them.
#6.-- He of course was not at liberty to share any specifics with me, but I will post the key points ( that at least to me gave an indication in which direction my investment is heading!)--by key points , I mean my opinion or personal view of what I thought Jack would have told me if he was at liberty to do so!
#7.--I sensed that M/M was front row and centre at the meeting!
My impression of M/M as it relates to the CVIA/WOTD meeting is Money/Management!---I sensed that there were several well seasoned /experienced Managers, with varied successful business backgrounds at the meetings! The other M that we all like to hear about ( My opinion) is that it is my sense that there were several levels of Money Individuals and Groups represented at the meeting!
I sensed that there may have been two layers of potential Money Investors represented at the meeting! First! A level of Investment Resources, that I will call the First Level!--which let's say could raise
( this is totally a ball park figure) $20 Million, in swift order!
Then a Second Level of Investment Money which could support major business building opportunities let's use another guess and ball park estimate of let's say the $500 million dollar investment range!
( Provided the right opportunity presented itself, and it is my guess work that this type of investment range could be secured very rapidly!)
Like I said before! Treat my comments on this thread posting as "Amusement Value".
#8.-- In my opinion this appeared to be a very well attended and represented meeting! I have a feeling that Jack appeared somewhat surprised by the number of meeting participants ( in a positive way)--and the fact that several of them came some very long distances to participate in the meetings!
#9.--It's my opinion that CVIA/WOTD is either very close or otherwise, in having their initial Management Team and Board of Directors in place.
#10.--I got the impression that Jack will be/is? the Manager/Director of Investor Relations for WOTD! I'm not sure how official it is as of yet, but he definitely did not shy away from the fact that his new capacity would be heading up the very important position of Investor
Relations.
#11.--You may recall that several weeks ago I got the impression that it would be the end of February until we hear of all the specifics as to the members of the Board of Management, Board of Directors, etc.
Although it appears that I/we got a liitle side tracked with another interim announcement that came earlier, I am still of the opinion, that I personally would not expect to hear all the specific details data, that we are hoping to hear, until the end of February! ( Although that's just my own opinion!)---I do not want to put any extra pressure on Jack Arnold or for that matter on my self or other CVIA Shareholders, of course I would like to see more detailed news sooner than later, but if waiting until the end of February, can increase my chances of making my CVIA Investment a potentially more profitable one in the future, then I am prepared to practise a little more patience!
#12.--Having already mentioned that in my opinion I am not expecting all the specific details until the end of Feb! ( Just my own opinion)---
-----Jack did indicate that any/all future announcements would be the input of not just Jack Arnold, but rather the input and scruteny of the future/current Management Team of CVIA/WOTD.
#13.--Jack indicated that there is much to digest and take affirmative action on regarding the recent meeting! Due to the fact that the next news release/update ( I'm now not talking about the end of Feb. potential release!).----will have the input of apparently several Managers/Directors ( in my opinion)--it appears that there is the potential ( subject to change)--that a news release could come as early as next week! ( Monday? or Sooner? Time will tell!).
#14.-- Given my guess on the time frame, Jack did suggest for those that so choose to do so, may want to keep an eye on the CVIA Webb Site, in and around the time frames that I speculated on.
#15.--I'd like to think that the next news release will make us aware of new details as it relates to the merger/acquisition progress! To what extent , in my opinion, one can only speculate?
#16.--My hunch/guess is that the real meat of the merger/acquisition details will come forward at the end of February time frame! ( Just my own opinon! I could be totally wrong, and it could come sooner or later of for that fact never?).
#17.Jack asked me to pass on his positive comments , as to the patient / communicative style that the CVIA Thread participants were demonstrating! He indicated he reads all the postings on the CVIA Thread and CVIA Shareholders webb site! ( Thanks! Milk and D Lee)
#18. Without giving out specifics I sensed that Jack Arnold felt some members on the CVIA Thread, had an uncanny ability to contribute postings, that were very much in line where he felt the future business opportunities of CVIA/WOTD was heading!
#19. I hate to even bring up this thought /opinion, but I will!
It is my sense from the discussion with Jack Arnold today, that there will in my opinion be some type of share re-organization, at some point in time! If and when I have no way of knowing!
Jack appeared very upfront about this, but did appear, very, very, motivated when we discussed the possiblities! His feeling that what ever the process /share reorganization turned out to be, he felt that it would only add potential value to the CVIA Shareholders!
It is my sense that Jack Arnold and now or soon a very large cast of Management and Money on the CVIA / WOTD Team, are very much aware of the "games" that are played buy various individuals , groups, on the OTC.B.B. area.
In my opinion, Jack indicated that based on the influece and experience of the potential investors and managers in the CVIA/WOTD scenario, I felt that he could not see CVIA remaining as an OTC. B.B. Stock , in the near future! ( Once again just my own opinion!).
#20.-- I asked Jack Arnold if he still felt that there was a need to have a Spkesperson from the CVIA Thread? The impression that I got from Jack was that it has and would continue to save him precious hours to devote to the business development of CVIA/WOTD, if we continued the CVIA Spokesperson Program.
#21.--In my opinion he also suggested, that when all the details are completed and publically announced for all to see, then he felt that there was a strong possability that there may be the opportunity to carry on with a two way dialogue with Jack Arnold and our thread, as well as a more informative and interactive communication between CVIA?WOTD Shareholders and Jack Arnold!
#22.-- He felt that this may possibly begin to take affect as soon after more details are announced near the end of Feb???? ( Once again just my own opinion!)
#23.-- I also got the feeling from Jack Arnold that some time soon, it may very well be that we may want to consider changing the name of the thread!----I asked him when we could expect to do that! He wasn't at liberty to share those specific timing details, but did give the indication, that we would know very clearly via a news/press release if and when such an announcement takes place!
In closing , it's been a pretty quiet day! The telephone discussion that I had with Jack Arnold today, took about 1 1/2 hours!
