Understand the risks of investing in ECPL.

I was one of the original investors in the company via
a bridge loan in 1994. This is well before they did
their backdoor IPO (i.e., merged into a public empty
shell with no assets).

While their growth has been impressive, much of it has
been achieved through acquisitions with their "paper".

I recommend people really study the S-3 they filed way
back when. They are still dealing with comments from
the SEC. There are a lot more shares outstanding then
people realize. Take a look at the earn-out due to the
original investors (there is some pretty heavy dilution
coming your way)

It took the company a while to sell my shares privately...
this is when the company was trading at $4.50... the
price... $2.65. I get nervous when there is a 50% discount
between the private and public price. Next time you talk
to the company, try to get a sense of how many shares
are currently floating vs. the total number of shares
outstanding (including the earn-out.).

I'm not saying that this won't turn out to be a great investment.
I am saying investigate all of the details before you leap.
