Lawndale amends 13-D increasing QSII position

In a filing with the SEC on January 28, 1997, Lawndale Capital Mgmt amended its 13-D filing, increasing its position to over 6.2% of the shares of Quality Systems, Inc., a Orange County, California based company trading under OTC symbol, QSII. It is quoted as believing that with $3/share of net cash, QSII at $6.25/share does not adequately reflect the potential value of QSII's underlying businesses and component assets.

It requested that Quality's System's Board of Directors take measures to maximize shareholder value including reauthorizing the company's stock buyback plan and to give serious consideration to a larger scale buyback through a "Dutch Tender Auction" or similar process.

In addition to its dominance in the dental systems market, Quality Systems has wholly-owned subsidiaries, Clinitec Intl and MicroMed Healthcare Info. Sys that develop and provide electronic medical records systems and enterprise practice management systems, respectively.
