As I see it hey can meet the requirement two ways: 1) Minimun - $5 a share and 40 million market cap. They are only an 1/8th away from failing to meet this requirement. 2) Minimum - $1 a share and $4 million tangible net assets. They do not meet this requirement. The $2mil loan is subtracted from their assets. The operative word is "net".
