gary, basically, what they are saying in the prospectus is tht stockholders can get screwed. TERA has underperformed the market since this priv placenment was filed. HJ meyers did the cold calls to boost the stock so the company could get more of a cushion for the price decline , and HJ could get more money from the company for doing the deal. the only thing that concerns me is that the stock is already down from the announcement, and i dont know how much of this private placementstock has been converted . I think the holders can convert and sell now. regards, bob
