SHARES ELIGIBLE FOR FUTURE SALE

As of December 31, 1997, the Company had outstanding 44,950,083 shares of
Common Stock, and options to purchase a total of approximately 11,576,213 shares
of the Company's Common Stock under the Company's stock option plans. Of these
shares, an estimated number of 2,322,897 shares recently issued or that may be
issued or sold in connection with acquisition and investment transactions
(including the acquisition of Four11 Corporation and the purchase by the Company
and SOFTBANK Holdings Inc. of shares of capital stock of GeoCities in December
1997 and January 1998) will be tradeable pursuant to registration statements
(including the registration statement of which this prospectus is part). Sales
of substantial amounts of such shares in the public market or the prospect of
such sales could adversely affect the market price of the Company's Common
