Is a secondary offerring and a private placement considered one and the same?
If not, what are the differences?

My thoughts were a secondary needs not one but several underwriters, all of which are willing to provide ongoing research coverage on the company and have their institutional sales groups present the company to a wide range of investors.

A company should be bullish about its prospects, have good fundamentals, and possess the credibility required to convince investors that its optimism is justified.

Wouldnt a secondary offering have been a more bullish scenario??

Could one get a better idea of companies prospects by analyzing who the investors were?

(in this case, Advantage Fund II Ltd. and Genesee Fund Limited)

I dont know how to figure the companies stock options as far as dilution goes. if they have 2 million to be exercised would this be add ed to the total shares outstanding?
or were they already including in hte shares outstanding and just not in the float?
