in reality very little is done to prevent executive theft and self dealing. they can get away with almost anything and do, and very few mutual funds and pension funds look out for shareholder interests though some try.
Independent directors on boards are almost never so and desires of small investors are ignored. So I have no illusions about the rule of law. If you followed the Madoff story you would know that Markowitz tried in vain for years to get the SEC and FBI involved. Remember when Michael Dell took Dell private at a ridiculous price?
I have bought in to undervalued situations only to watch the ceo brazenly transfer assets out to a privately held company at a ridiculous price with the tacit approval of board of director and phony fair price evaluations.
That why you cant put all your eggs in one basket . the risk of fraud and self dealing is too great.
