------------------------------------------------------------------------------------------------------------------- SEPTEMBER '97 INSIDER SELLING: Etheridge Trust Etheridge is the founder that Jenkins replaced.
From: Karl Drobnic The Etheridge Trusts filed another 140,000+ shares of 144 stock for sale. Ethridge ownership: 427,019 shares in the last 10K (June, 1996). Mr. Ethridge made a series of loans to the company over the years, and it looks like he was repaid. From: Skipard Ethridge stock has already been sold, and he is NOT an insider, and has no decison making in the company, nothing. From: C.K HOUSTON Anyone who's done one iota of research, knows it's Ethridge, the ex-CEO selling his shares. Well, maybe not his shares exactly ... I heard it was a trust. The last sell from the trust, before this one, was for a female member of the family. Don't know if it was wife, kid or sister. -------------------------------------------------------------------------------------------------------------------

JUNE '97 INSIDER SELLING: July 22, 1997 Discussion
From: Alex Engelgardt In June 97, the CEO and the company director sold 936,932 shares at $1.38 . The sale date is 5/28. No insider buying is reported for the month of June or recent week(s). There's one 144 form on file for June identifying a buy/sell (?) of 50,000 shares by a shareholder at $1.50. Insider selling is usually a bad omen but in this instance they were probably taking profits, although who knows. insidertrader.com From: Karl Drobnic RE: The company director who sold: I had dinner with him. He sold his company (A.C.T) to Topro about a year ago. That's how he got his stock. He did not impress me as a team player in the "new Topro" being built by Jenkins. So he cashed in the stock he got in the deal and said goodbye. His timing was terrible, but he has his own agenda. So Walker sold over 900,000 shares. Jenkins sale was minor, and he's had little reward for two years of hard work. His options didn't even kick in until the shares hit $3.50. ------------------------------------------------------------------------------------------------------------------- If you REALLY want to go back far on this and see ALL past discussions on this. techstocks.com
