The company has negotiated a non-brokered private placement of up to 1,000,000 units at $0.35. Each
unit will consist of one share and one warrant entitling the holder to purchase an additional common
shares at $0.35 in the first year and $0.40 in the second year. The company will pay a finders fee in
either units or cash in the maximum amount as is permitted by the policies of the VSE. The proceeds of
the private placement will be used for general working capital purposes.
