Today's News Release: SHAREHOLDERS APPROVE SIDEWARE SYSTEMS INC. NAME CHANGE

FOR IMMEDIATE RELEASE - FEBRUARY 4, 1998

Vancouver, BC - At the Annual General Meeting held in Vancouver on January 29, 1998, shareholders passed a special resolution approving the change of the company name from JOT-IT! Software Corp. to Sideware Systems Inc. Appropriate filings will be made with the regulatory authorities to make the name change official.

The shareholders re-elected Owen Jones, Grant Sutherland, Ian Lovejoy, Peter Kozicki and Edward White as directors. As well, KPMG, Chartered Accountants, were re-appointed as auditor for the coming year.

In addition, certain stock options were approved.

The shareholders approved the payment of $120,000 to Grant Sutherland in respect of services rendered for the two year period from May 3, 1995 to April 30, 1997.

"The AGM provided a good forum for Owen Jones (President) and I to answer questions from our shareholders." stated Grant Sutherland, Chairman. "Our mandate for 1998 is to translate our strategic relationships with Lotus and Sun Microsystems Inc. into commercial relationships generating substantial revenues for Sideware Systems. As two of the largest shareholders in the company, Owen and I are committed to achieving this goal."

The company name change will be made official pending shareholder approval, at the next Annual General Meeting.
