Hi Brian.

Thx for your recent postings regarding ECPL. I have followed the company since 1996 when Mr Alsentzer came on board and found a company in very precarious financial condition. I would just like to comment on a couple points in your post ( Back door IPO ) It is my understanding that many new ventures choose this simple ,less expensive and less time consuming avenue to " Go Public " There is nothing sinister nor deceitful in backing the guts of one company into a Shell corporation....It is done all the time.

As for the present stock price and dilution which we will see in the future ? You are entirely correct there will be some dilution but keep in mind we had a loss of $3.2 million in 1996 growing to approximately $ 23 million in sales in 1997 with a current run rate of $ 40 million and climbing very rapidly. With this and future growth rates which we saw in 1997 a strong argument can be made that this company has grown into it's present market capitalization.Remember the company has just completed an expansion of it's Tennessee plant and quadrupled the Wisconsin plant to serve the rapid growth in sales of the " Care Free Deck " systems. We are also approaching commercialization of the Plastic RR Tie business.
