A zero convert is not Reg S stock and many fine companies have issued them in the past. ex. are Disney, Elan, Mot, etc. In fact this could be an ideal investment for a retirement account since it will provide growth via the convert option and and some stability via the debenture side. Did you by chance see the name LYON associated with the offering, this stands for Liquid Yield Option Note, and Merrill Lynch has underwritten many in the past. Most have a very interesting put feature which will assure a rate of return to the investor. (Of course that is provided the company stays in business to make good the assurance.) good luck
