Good point. Depends on the deal. Considering the relatively low number of shares outstanding, UMSI would probably approve increasing the number of authorized shares since the company owns the majority of shares, and would do something like issuing Reg S shares like the rogues they are. Of course, we can't assume that UMSI owes anything, because shares were probably issued to get financing in the first place - I remember the outstanding shares were as low as 5 million at one time.
