American Stock Transfer tallies the votes form many of the shareholders. That is just one of several holding entities that have public stocks that are not in the hands of the individual owner. SALV can get the current tally of votes on literally a minute by minute basis, but we can't. SALV is under no obligation to disclose the vote until the meeting. I'm sure they won't. I don't believe insiders control SALV. There has been too much dilution through private placements. Most of that stock appears to have been sold on the market. If there are big blocks, it should have been disclosed.
But you are right, the proxy will probably pass because most shareholders don't think when they receive notice from any company, but accept the management/BOD recommendation. This was exemplified in SALV's case by passage of the Preferred Shares, a ludicrous vote by any shareholder. It boggled my mind that anyone would allow issuance of this class of stock taking priority over the vast majority of common shares. I still believe it is the biggest threat to us all, especially in light of the split and the lack of inclusion of the Preferred.
