Neither TSMC or Winbond can offer the protection of an Intel cross-license that IBM, TI, SGS and a few others can offer (NSM is out of the question). Some Japanese companies have Intel cross licenses but they have shown no interest in the past in acquiring X86 uP capability beyond some X486 products. I think that IDTI will want to partner with a fab that has that protection to offer under the thinking that if you are going to grow to the size to cause Intel to be mildly amused, you will need to deal with that issue.

All this take over talk is pure bunk at this point. I have seen no concrete knowledge or reports on the issue and IDT itself says that they would be foolish to think of selling out at this juncture. That wouldn't be serving shareholders very well unless they got an outrageous price based on 2-4 year ramped up sales volumes.

A pure strategic move might have been something like TI or IBM using some joint venture capacity in one of the Taiwanese or other Asian semis and funneling IDTI production through them. That should meet the muster of the "wash rule" for adhering the Intel cross-license to IDT's parts and, at the same time, would take advantage of the devalued currency, overbuilt facilities and lack of worthwhile intellectual property in Asia.
