At the top of Page 2 of the Proxy Statement, it reads "Abstention from voting will have the same effect as voting against the proposals." Earlier it states that a quorum must be present to even hold the vote, and then the majority of those voting must vote in favor. I'm assuming that abstention really only means that a shareholder marked the "Abstain" box on the ballot and that it doesn't mean the shareholder just didn't bother to send in the ballot at all. I may be wrong. I hope abstention is counted as not sending back a ballot. SALV will have a hard time passing the proxy if that is the case. While reading this page, I again noticed the recent grant of 1 million options to McLachlan and 1/4 million each to the other two Directors at an unspecified price. This is astounding and stinks. Even worse, when you read the footnote #2 for McLachlan's shares, they are all either in suspicious trusts "for the benefit of Mr. McLachlan's children" or granted to a Jersey company, a notorious tax haven for the European wealthy. He also lists his address as that of the SDS office in London. Doesn't he want anyone to know where he can be found, either in person or his stock?
