Tim and others,

In defference to the Alphabetically Correct I have brought over some info from Frank Peters in answer to some questions posed on the other thread.

Frank was asked:

Frank:

Your WEB page is the source of my questions rather then the answer to them. While it lists the 10,000,000 share private placement it does not state ( or I don't understand ) whether this PP is the RANA bridge financing or an alternate approach.

Also the list refers to the goal of raising $100,000,000 at $10 to $15 per share. While I can do the math and come up with the number of shares to be sold to the public, I would also like to know the number of shares to be retained by FTEL and DCTC. If you cannot share this information at this time, I understand. If my questions were not
clear and you can answer them now I appreciate the effort.

Frank's answer:
"
Sam:
Stage 2:
The $10 Mil is a combination of RANA, a PP and several other posibilities. I wish I could do one deal and get all the capitol we need.

If you click on the 'history' line in the msg from me you will see the current ownership of FNet.

Stage 3:
Here is an example:
The $100 Mil is FNet IPO. 8 to 10 mil shares at $10 to $20 per share. The dilution math is:
Now (10/8/96) 20 mil shares out owned by FTC, me and Colin Patterson.
After the PP of $5 to 10 Mil ($1.00 per share) Max now 30 mil shares outstanding.
After the IPO of 8 to 10 mil ($10 per share) Now 40 Mil shares outstanding and a market cap value at about $400,000,000.

I hope this example helps you -- Remember it is only an example -- and my hope.

Frank"

JFHO (just frank's humble opinion)
