I'm curious if SIMO can sue MXL for more than the $160m break up fee?

As I read it MXL breached their contract, but I don't know what the penatly (beyond the break up fee) is for that.

If MXL can't prove their claims (in the press release today) in court, what's the worst that happens to them? Can SIMO actually compel them to pay the purchase amount described in the deal filings, or is SIMO's reparations limited to $160m break up fee + legal costs?
Any idea?

If the Buyer can just quit the deal, what's the reason for the language in the agreement that says they buyer must make best efforts to close the deal?
