Questions for MXL......

1- Do you still have the $3 billion commited financing available?

2- What exactly is the Material Adverse Effect that SIMO experienced which allows you can cancel the deal without penalty?

3- What misrepresentations did SIMO make which allow you to cancel the deal without penalty?

4- You say the deal was not renewed on the May 7th (first extended) outside date. Why did the CEO discuss the benefits of the deal in early June at a Stifel conference, and why did MXL refile the Hart Scott Rodino application in June if the deal was not renewed on May 7th? Why did you file paperwork with SAME in late July if the deal was not renewed on May 7th?

5- When did you become aware of all the alleged issues which caused you to cancel the deal? Investors who bought SIMO stock after the SAMR annoucement and before you cancelled the deal lost (on average) $30 per share. Are you responsible for that one day loss?

I'm especially interested in the answer to question number 1.....
