When I talked to Mayer awhile back he said that fully diluted shares would equal 15MM. So if you take last quarter's weighted avg shares outstanding and then add 15MM and divide by 2, you get around 13.5MM. That is assuming, of course, that the shares have become fully diluted by 6/30/96. I would assume the worst if I were you.

Therefore, my guess would be 13.5MM weighted avg shares will be used in the 10K for EPS #s.
