Karl, Tell me if you think I'm confused. I just assumed SSAX was issuing previously unissued stock (or treasury stock) to the individual owners of the affiliate in exchange for the privately held shares they owned. The old affiliate shareholders would be free to sell their shares on the open market. No proceeds would be coming to SSAX because they are giving their shares in payment for the affiliate. Is there something in there I'm missing? I'll read the thing again after I post this. James
