No, companies don't file S-3 registration statements (F-3 in this case, since Zentek is non-US) when they're issuing shares from treasury to a partner as part of a deal.

This filing has one purpose: it will allow Zentek to sell new shares, and potentially warrants, to the public.

There is no concurrent filing in Canada because they probably already have an active "shelf" in Canada. Zentek has never filed one in the US.
