The repricing of options should not affect most shareholders, since netscape will not be independent much longer. The lawsuit states that the directors are trying to enrich themselves at the expense of the shareholders. From the press release it shows that the directors only have a minor share of options compared to their actual stock holdings. I believe they are just trying to help their employees gain from the sale of netscape.
