These rules won't change a thing.

This is the *second* reform of Reg. S. The first reform was supposed to do the same thing that this reform is supposed to do.

So it goes.

The practice of selling securities at a variable discount is market is abusive, no matter what the holding period, and no matter whether the securities are restricted or not.

The only way to reform Reg. S is to eliminate it. Period.

The "S" stands for "steal".

Reg S is nothing short of a license to steal.
