NOTICE IS HEREBY GIVEN that the Annual Meeting of Shareholders of Franklin Telecommunications Corp. will be held at the Hyatt Westlake Plaza Hotel, 880 S. Westlake Blvd., Westlake Village, California 91361, on February 27, 1998, at 2:00 P.M., local time, for the following purposes:

1. To elect a board of four directors, with each director so elected to hold office until the next Annual Meeting and until their successors have been duly elected and qualified; and

2. To adopt the 1998 Incentive Stock Option Plan.

3. To transact such other business as may properly come before the Annual Meeting and any continuation or adjournment thereof.
