Cockroaches die on their backs because they're top heavy, they have a high center of gravity...

This high center of gravity makes it difficult for them to right themselves once they flip over...

So, when they get weak due to aging or some other reason then it becomes almost impossible for them to flip right side over again...

So, they just lay there upside down and they eventually die...
